TERMS AND CONDITIONS OF USE

ADAPTIVE ATS

These Terms and Conditions of Use (“Terms”) govern your use of the Adaptive ATS (“System”) operated by Honest Solutions LTD (“Company”) in the recruitment industry. By accessing or using the System, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the System.

It is recommended that you print and keep a copy of these Terms for future use. Please note that these Terms may undergo revisions periodically, so it is advisable to revisit them regularly and prior to utilizing the Adaptive ATS.

1. Definitions

1.1. "Adaptive ATS" (System) refers to the web-based Applicant Tracking System provided by HONEST SOLUTIONS LTD, including its associated features, functionalities, and services.

1.2. "User" refers to any individual or entity that accesses or uses the System.

1.3. "Client" refers to any entity that engages with the "Organization" to manage its recruitment processes.

1.4. "Candidate" refers to any individual who interacts with Adaptive ATS for job application purposes.

1.5. "Jobs" refer to job postings or vacancies managed through the ATS.

1.6. "Organization" refers to any organization that engages the Adaptive ATS to manage its recruitment processes.

1.7. "Third Parties" refer to external entities, including but not limited to job boards and integration partners, that may be connected to Adaptive ATS.

2. Account Creation

To access and use the Adaptive ATS, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account login information and are solely responsible for any activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security.

Adaptive ATS, typically offers the following services:

2.1. The ability to add Users. Users can have different roles and permissions within the System, allowing them to perform various tasks and access specific features.

2.2. The ability to add Clients. In Adaptive ATS, you can add client information such as name, contact details, city, country and any specific requirements or preferences they may have. By adding clients to the system, you can easily associate jobs and candidates with the respective client, ensuring clear organization and tracking of recruitment activities.

2.3. The ability to add and edit Jobs. When adding a job to Adaptive ATS, you typically provide details such as the job title, Employment type, Client details, description, requirements, and any other relevant information. This information helps you effectively communicate the job requirements to potential candidates and track the progress of each job opening within the system.

2.4. The ability to add, edit and manage Candidates. By adding candidates to the system, you create a centralized database of potential hires, making it easier to search, filter, and evaluate candidates based on their qualifications and suitability for specific job openings.

2.5 In Adaptive ATS, you can set up your own Organization when you Sign Up. Your organization's details become your account information, and you can edit them whenever you need to.

3. Collaboration and Data Usage

3.1. The System enables collaboration between Organizations, Clients, Users, and Candidates. The Company is not responsible for any disputes or disagreements that may arise between these parties.

3.2. Users may interact with Candidates and Clients through the System, and you agree to conduct such interactions in a professional and lawful manner. You are solely responsible for any content or materials you share or transmit through the System.

3.3. The Company reserves the right to monitor and moderate user interactions and content. You agree that the Company may remove or restrict access to any content that violates these Terms or is deemed inappropriate.

3.4. User Content: You are solely responsible for any content you submit, upload, or otherwise make available through the Adaptive ATS, including but not limited to CVs, resumes, job applications, and candidate data. By submitting content, you represent and warrant that you have all necessary rights and permissions to do so and that such content is accurate and truthful. You grant the Company a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such content in all formats and distribution channels now known or hereafter devised.

3.5. Prohibited Conduct: You may not use the Adaptive ATS to engage in any activity that is illegal, fraudulent, deceptive, or unethical. You may not use the System to harass, defame, intimidate, or discriminate against any person or group of people. You may not use the System to transmit any viruses, malware, attempt to decipher, disassemble, reproduce, copy or discover the source code of any Software making up the System. You may not use Adaptive ATS in any manner that could damage, disable, overburden, or impair the System or interfere with any other party’s use and enjoyment of the System. You agree not to use the System in violation of these Terms.

3.6. You are accountable for any data loss or unauthorized access or use of the System via your Account in breach of these Terms. Upon notification from Us of any prohibited activity or purpose regarding the System, you must promptly discontinue such activities or purposes.

4. Changes to the System and Websites

4.1. We may update the System from time to time and you May receive notifications for such upgrades, enhancements, other updates or modifications. These changes are also subject to these Terms and Conditions and WE reserves the right to deploy Updates at any time.

4.2. When it comes to third-party services and network connections, we won't notify you about any updates or fixes, and we're not responsible for any data breaches, including your own data. This includes transmissions over external computer networks or telecommunication systems (like the internet) that we don't own or control. Additionally, we don't take responsibility for the reliability or performance of the services or connections mentioned in this section.

5. System Access and Usage

In our ongoing pursuit of improvement and ensuring your satisfaction, we're thrilled to grant you access to Adaptive ATS during this initial phase for FREE. There are no associated charges as we seek essential feedback to enhance our product. We urge you to explore its various features and functionalities, sharing your valuable insights on your user experience. Your feedback will help us pinpoint areas for enhancement and prioritize future updates, aligning with your needs.

In the future, we plan to introduce subscription plans along with a Free Trial option, providing you with flexibility and choice. These plans will offer diverse features, improved support, and customization options to better suit your evolving needs. Rest assured, we'll communicate transparently about these changes well in advance, maintaining our commitment to your satisfaction and trust.

6. Termination and Suspension

To preserve platform integrity and enhance user experience, the Adaptive ATS has instituted account suspension or termination procedures for breaches of its Terms and Conditions. Additionally, users may also request termination of their accounts.

6.1. Either party may terminate the System at any time with or without cause. Termination will be effective upon written notice to the other party.

6.2. In the event of termination, you remain responsible for any outstanding fees accrued up to the effective date of termination.

6.3. Suspension by Us - Your Account access and usage may be suspended if you violate the Terms. We'll inform you of any activities breaching these Terms and, at our discretion, give you a specific time to fix or stop them. If you don't take action or stop these activities within this period, or if we think the breach can't be fixed, we'll terminate your Account and delete associated data from our database.

We also reserve the right to cancel subscriptions and access to our services if offensive language or racist comments are used. This includes any communication promoting discrimination, hatred, or harm towards individuals or groups based on factors such as race, ethnicity, religion, gender, or any other protected characteristic.

7. Intellectual Property Rights

The System and all content and materials included on or within the System, including but not limited to text, graphics, logos, images, and software, are owned by or licensed to the Company and are protected by intellectual property laws. By using the System, you do not acquire any ownership rights or licenses to the System or any intellectual property of the Company. You may not copy, modify, distribute, sell, or otherwise use any content or materials from the System without the Company’s prior written consent.

8. Third Parties and Integrations

8.1. The System is integrated with third-party platforms and services, including Gmail and Google Calendar. Your use of these third-party integrations is subject to their respective terms and conditions.

8.2. The Company is not responsible for the availability, functionality, or actions of any third-party platforms or services.

9. GDPR Compliance

The Company complies with the General Data Protection Regulation (GDPR). This means that the Company is committed to protecting the privacy and personal data of all users of the System. By using Adaptive ATS, you acknowledge that you have read and understand our Privacy Policy, which describes how we collect, use, and share your personal data.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including attorneys’ fees, resulting from any violation of these Terms or any activity related to your account or use of the Adaptive ATS..

11. DISCLAIMER OF WARRANTIES

THE SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SYSTEM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SYSTEM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY DISCLAIMS ANY RESPONSIBILITY FOR.

12. General

12.1. These Terms are the complete agreement between you and the Company for using the Adaptive ATS, and they replace any previous written or spoken agreements or understandings.

12.2. If any part of these Terms is considered invalid or cannot be enforced, it will be applied to the greatest extent allowed by law, and the rest of the Terms will still be valid and effective.

12.3. By accessing or using the Adaptive ATS Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
