These Terms and Conditions of Use (“Terms”) govern your use of the Adaptive ATS (“System”) operated by Honest Solutions LTD (“Company”) in the recruitment industry. By accessing or using the System, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the System.

 

It is recommended that you print and keep a copy of these Terms for future use. Please note that these Terms may undergo revisions periodically, so it is advisable to revisit them regularly and prior to utilising the Adaptive ATS.

1. Definitions

1.1. "Adaptive ATS" (System) refers to the web-based Applicant Tracking System provided by HONEST SOLUTIONS LTD, including its associated features, functionalities, and services.

1.2. "User" refers to any individual or entity that accesses or uses the System.

​

1.3. "Client" refers to any entity that engages with the "Organization" to manage its recruitment processes. 

​

1.4. "Candidate" refers to any individual who interacts with Adaptive ATS for job application purposes.

​

1.5. "Jobs" refer to job postings or vacancies managed through the ATS.

​

1.6. "Organization" refers to any organization that engages the Adaptive ATS to manage its recruitment processes.

1.7. "Third Parties" refer to external entities, including but not limited to job boards and integration partners, that may be connected to Adaptive ATS.

2. Account Creation

 

To access and use the Adaptive ATS, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account login information and are solely responsible for any activities that occur under your account. You agree to notify the Company immediately of any unauthorised use of your account or any other breach of security.  

 

Adaptive ATS, typically offers the following services:

 

2.1. The ability to add Users. Users can have different roles and permissions within the System, allowing them to perform various tasks and access specific features.

 

2.2. The ability to add Clients. In Adaptive ATS, you can add client information such as name, contact details, city, country and any specific requirements or preferences they may have. By adding clients to the system, you can easily associate jobs and candidates with the respective client, ensuring clear organisation and tracking of recruitment activities.

 

2.3. The ability to add Jobs. When adding a job to Adaptive ATS, you typically provide details such as the job title, Employment type, Client details, description, requirements, and any other relevant information. This information helps you effectively communicate the job requirements to potential candidates and track the progress of each job opening within the system.

 

2.4. The ability to add Candidates. By adding candidates to the system, you create a centralised database of potential hires, making it easier to search, filter, and evaluate candidates based on their qualifications and suitability for specific job openings.

 

2.5 The ability to add Organisations. In Adaptive ATS, you can add Organisation Information, such as: Name, Address, City, Country and any specific requirements or preferences they may have.

3. Collaboration and Data Usage

 

3.1. The System enables collaboration between Organisations, Clients, Users, and Candidates. The Company is not responsible for any disputes or disagreements that may arise between these parties.

 

3.2. Users may interact with Candidates and Clients through the System, and you agree to conduct such interactions in a professional and lawful manner. You are solely responsible for any content or materials you share or transmit through the System.

 

3.3. The Company reserves the right to monitor and moderate user interactions and content. You agree that the Company may remove or restrict access to any content that violates these Terms or is deemed inappropriate.

 

3.4. User Content: You are solely responsible for any content you submit, upload, or otherwise make available through the Adaptive ATS, including but not limited to CVs, resumes, job applications, and candidate data. By submitting content, you represent and warrant that you have all necessary rights and permissions to do so and that such content is accurate and truthful. You grant the Company a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such content in all formats and distribution channels now known or hereafter devised.

 

3.5. Prohibited Conduct: You may not use the Adaptive ATS to engage in any activity that is illegal, fraudulent, deceptive, or unethical. You may not use the System to harass, defame, intimidate, or discriminate against any person or group of people. You may not use the System to transmit any viruses, malware, or other harmful code. You may not use Adaptive ATS in any manner that could damage, disable, overburden, or impair the System or interfere with any other party’s use and enjoyment of the System.

4. Fees and Termination

 

The use of Adaptive ATS is subject to payment of applicable fees. Details of the fees, including the pricing structure and payment terms, will be provided separately and may vary based on the chosen subscription plan.

 

4.1. The Company reserves the right to modify the fees at any time. Such modifications will become effective upon notice to you.

4.2. Either party may terminate the System at any time with or without cause. Termination will be effective upon written notice to the other party.

​

4.3. In the event of termination, you remain responsible for any outstanding fees accrued up to the effective date of termination.

5. Intellectual Property Rights

 

The System and all content and materials included on or within the System, including but not limited to text, graphics, logos, images, and software, are owned by or licensed to the Company and are protected by intellectual property laws. By using the System, you do not acquire any ownership rights or licences to the System or any intellectual property of the Company. You may not copy, modify, distribute, sell, or otherwise use any content or materials from the System without the Company’s prior written consent.

​6. Third Parties and Integrations

 

6.1. The System is integrated with third-party platforms and services, including job board platforms, Google tools and LinkedIn. Your use of these third-party integrations is subject to their respective terms and conditions.

6.2. The Company is not responsible for the availability, functionality, or actions of any third-party platforms or services.

​

7. Free Trial

 

7.1. The Company offers a Free Trial of the System for (14 days). The terms and conditions of the Free Trial will be as follows in addition to all other Terms:

• Access to the Adaptive ATS during the Trial will be provided at no cost to the Customer.

• This access is for the purpose of offering the Customer an overview of the functionality and features of Adaptive ATS. 

• Features and functionality of the ATS during the trial may be limited and any services provided for free during the trial are provided in their current state. Adaptive ATS is not liable for any harm or damage that may arise from using those free services. There are no obligations for Adaptive ATS to compensate for any negative outcomes associated with the free services.

• Adaptive ATS can stop or pause the Customer's access to the services at any time during the Trial. The System will notify the Customer one week in advance of the end of the Free Trial and should the Customer continue using the ATS, will be subject to payment.

• Customers are responsible for any harm or damages caused by using the System during a Trial.

8. GDPR Compliance

 

The Company complies with the General Data Protection Regulation (GDPR). This means that the Company is committed to protecting the privacy and personal data of all users of the System. By using Adaptive ATS, you acknowledge that you have read and understand our Privacy Policy, which describes how we collect, use, and share your personal data.

9. Indemnification

​

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including attorneys’ fees, resulting from any violation of these Terms or any activity related to your account or use of the Adaptive ATS.

10. DISCLAIMER OF WARRANTIES

THE SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SYSTEM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SYSTEM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY DISCLAIMS ANY RESPONSIBILITY FOR.

11. General

11.1. These Terms are the complete agreement between you and the Company for using the Adaptive ATS, and they replace any previous written or spoken agreements or understandings.

11.2. If any part of these Terms is considered invalid or cannot be enforced, it will be applied to the greatest extent allowed by law, and the rest of the Terms will still be valid and effective.

11.3. By accessing or using the Adaptive ATS Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
